By accessing or using the website at withbasic.media (the "Site") or engaging Basic Media ("Basic", "we", "us", or "our") for any services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or our services.

2. Services

Basic Media provides performance marketing services to Shopify brands, including but not limited to paid advertising management, creative strategy, landing page optimisation, and funnel optimisation. The specific scope, deliverables, timelines, and fees for any engagement are governed by a separate written agreement or proposal signed by both parties.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of others. You must not:

4. Intellectual Property

All content on the Site — including text, graphics, logos, and code — is the property of Basic Media or its content suppliers and is protected by applicable intellectual property laws. 5. Client Deliverables

Upon full payment of all fees, clients receive a licence to use the agreed deliverables (e.g. ad creatives, landing page designs, reports) for their own business purposes. Basic Media retains the right to reference the engagement for portfolio or case study purposes, unless otherwise agreed in writing.

6. Payment & Cancellation

Payment terms are as specified in the relevant proposal or contract. All fees are non-refundable unless otherwise stated in writing. Either party may terminate an ongoing engagement with 30 days' written notice, unless a different notice period is specified in the governing agreement. Fees for work completed up to the termination date remain payable.

7. Disclaimer of Warranties

The Site and its content are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses. While we aim to deliver excellent results, we make no guarantees regarding specific outcomes from our marketing services, as results depend on many factors outside our control.

8. Limitation of Liability

To the fullest extent permitted by law, Basic Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services, even if we have been advised of the possibility of such damages. Our total liability in any matter related to the services shall not exceed the total fees paid by you in the three months preceding the claim.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives the termination of any services agreement. Neither party will disclose the other's confidential information to third parties without prior written consent, except as required by law.

The Site may contain links to third-party websites. These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.
